Acceptance of Terms
By accessing or using the services of Virtual Syndicate LLC, including our software platform Virtual Syndicate OS, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
Description of Services
Virtual Syndicate LLC is a U.S.-based company that provides software-as-a-service (SaaS) tools and digital marketing services to local contractors and service businesses. Services include but are not limited to:
- Virtual Syndicate OS, a multi-tenant lead management platform
- Lead capture forms, CRM, and automated follow-up
- Call tracking, missed-call auto-response, and two-way SMS messaging
- Review request and reputation management tools
- Database reactivation campaigns and email marketing
- Setup, onboarding, and ongoing client support
Subscription and Billing
- VSO is offered on a monthly recurring subscription basis
- Billing begins on the date of activation and recurs monthly until cancelled
- One-time setup fees, if applicable, are non-refundable once work has begun
- All payments are processed securely through Stripe; we do not store payment information directly
- Subscription pricing is disclosed at signup and may change with 30 days written notice
- Founding Member pricing, when offered, is locked at the rate disclosed at signup for as long as the subscription remains active and uninterrupted
- Failed payments may result in suspension of services until payment is resolved
Cancellation
- You may cancel your subscription at any time by emailing [email protected]
- Cancellation takes effect at the end of the current billing cycle; no partial refunds are issued for unused portions of a billing period
- Upon cancellation, access to the platform ends at the close of the billing cycle and tracking phone numbers may be released
- You are responsible for exporting your data prior to cancellation; data may be deleted 30 days after account closure
Client Responsibilities
To use the services effectively, you agree to:
- Provide accurate business information at signup and keep it current
- Comply with all applicable laws, including TCPA, CAN-SPAM, and state telemarketing regulations, when using SMS, calling, and email features
- Obtain proper consent before adding any contacts to SMS or email campaigns
- Not use the platform to send spam, deceptive content, or content that violates third-party rights
- Maintain the confidentiality of your account credentials
- Pay all fees on time
SMS and Communications Compliance
Our platform sends SMS messages on your behalf using Twilio. By using our SMS features, you represent and warrant that:
- You have obtained express written consent from each recipient before sending marketing or promotional messages
- You will honor opt-out requests (STOP, UNSUBSCRIBE) immediately and not re-add opted-out contacts
- You will not use the platform for prohibited content categories such as illegal substances, gambling outside licensed jurisdictions, hate speech, or fraudulent schemes
- You accept full responsibility for the content of messages sent through your account
We reserve the right to suspend or terminate accounts that violate carrier requirements, A2P 10DLC rules, or applicable law.
Intellectual Property
- Virtual Syndicate LLC retains all rights to the VSO platform, software, code, branding, and proprietary tools
- Your subscription grants a non-exclusive, non-transferable license to use the platform during the term of your subscription
- You retain ownership of your business data, customer lists, and content uploaded to the platform
- You grant us a limited license to host, process, and display your data solely to provide the services
- We may display your business name and logo as a client unless you opt out in writing
Disputes and Chargebacks
You agree to contact us at [email protected] to resolve any billing dispute before initiating a chargeback. Filing a chargeback without first contacting us is a violation of these terms. In such cases, we reserve the right to:
- Suspend or terminate the account immediately
- Pursue collection of the disputed amount and any associated fees
- Provide all transaction records and signup evidence to the payment processor
Service Availability
We strive for high uptime but do not guarantee uninterrupted service. The platform may experience downtime for maintenance, updates, or due to third-party providers such as Twilio, Stripe, and hosting providers. We are not liable for losses resulting from service interruptions outside our reasonable control.
Limitation of Liability
To the maximum extent permitted by law, Virtual Syndicate LLC's total liability for any claim arising from these terms or the services shall not exceed the total amount paid by you in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.
Third-Party Services
The platform integrates third-party services including Twilio for SMS and calls, Stripe for payments, Resend for email, Clerk for authentication, and others. We are not responsible for the policies, performance, or availability of third-party services. Your use of those services may be subject to their own terms.
Indemnification
You agree to indemnify and hold harmless Virtual Syndicate LLC from any claims, damages, or expenses arising from your use of the platform, your violation of these terms, or your violation of any law or third-party rights, including but not limited to claims related to messages or calls sent through your account.
Governing Law
These terms are governed by the laws of the State of Arizona, United States. Any disputes arising from these terms shall be resolved in the state or federal courts located in Maricopa County, Arizona.
Changes to Terms
We may update these terms at any time. Material changes will be communicated via email or in-platform notice at least 14 days before taking effect. Continued use of the services after changes constitutes acceptance.
